OFreight Terms of Service

OFreight is a Software-as-a-Service (SaaS) freight forwarding management platform designed to help freight forwarding companies manage their logistics businesses.

The platform may include functionality such as:

• Sales and CRM management
• Freight quotation and pricing tools
• Shipment operations and documentation management
• Accounting and financial management
• Business intelligence and reporting
• Workflow automation
• Customer portal access for shipment visibility
• Integration with third-party logistics and shipping systems
• Artificial Intelligence powered operational tools

OFreight is provided solely as a software platform. Circle Bit does not provide freight forwarding, transportation, customs brokerage, or logistics services.

You may use OFreight only if:

• You are at least 18 years old
• You have the legal authority to bind the company you represent
• Your business operates legally within applicable laws

The platform is intended for freight forwarders, logistics companies, and related businesses engaged in lawful logistics operations.

To access OFreight services, users must create an account.

You agree to:

• Provide accurate registration information
• Maintain the security of your account credentials
• Restrict unauthorized access to your account
• Notify Circle Bit immediately if your account is compromised

You are responsible for all activities performed under your account. Circle Bit reserves the right to suspend or terminate accounts that violate these Terms.

OFreight is strictly a technology platform.

Circle Bit Software Solutions Trading LLC:

• Does not participate in freight transactions
• Is not a freight forwarder, carrier, NVOCC, logistics provider, or customs broker
• Does not take responsibility for shipments, cargo, transportation, documentation, or contracts

All freight forwarding services conducted using the platform are solely between the User, their customers, and their service providers.

Circle Bit has no responsibility for disputes, losses, shipment delays, cargo damage, or contractual disagreements arising from such activities.

Users agree to use OFreight only for lawful purposes.

Users must comply with all applicable laws and regulations, including but not limited to:

Users may not use the platform for illegal activities, including but not limited to:

• smuggling
• fraudulent documentation
• shipping prohibited goods
• sanctions evasion
• customs fraud
• money laundering

Users must comply with all applicable international sanctions regulations, including those imposed by:

• United Nations
• United States (OFAC)
• European Union
• United Kingdom
• United Arab Emirates

Users must not use OFreight to conduct transactions involving:

• sanctioned countries
• sanctioned individuals
• sanctioned companies
• restricted cargo

Circle Bit reserves the right to:

• suspend accounts suspected of sanctions violations
• terminate services immediately
• cooperate with regulatory authorities where legally required

Users agree not to use the platform to facilitate the shipment of goods that violate export control laws or involve restricted commodities including but not limited to:

• military equipment
• dual-use goods without required licenses
• nuclear materials
• chemical or biological weapons components
• prohibited technology transfers

Users are solely responsible for ensuring compliance with applicable export control regulations.

Users are fully responsible for:

• shipment data accuracy
• documentation compliance
• customs declarations
• regulatory compliance
• financial transactions with customers
• cargo contracts and liabilities

Circle Bit does not verify shipment data entered into the system.

OFreight may include artificial intelligence (“AI”) powered features designed to assist users with operational, documentation, pricing, analytics, automation, and other logistics-related functions.

To provide, maintain, and improve these AI features, the OFreight platform may process certain data submitted by users.

By using AI-powered features within OFreight, the User acknowledges and agrees to the following:

OFreight may require a subscription fee.

Payments are processed through Stripe, a third-party payment processor.

By making payments, you agree to Stripe's terms available at:

https://stripe.com/legal

Circle Bit:

• does not store full payment card details
• does not control Stripe payment infrastructure

Failure to pay subscription fees may result in account suspension or termination.

Users are responsible for paying any applicable taxes including:

• VAT
• sales taxes
• withholding taxes
• regulatory charges

Circle Bit may collect taxes where required by law.

Users retain ownership of the business data they upload to OFreight, including:

• shipment records
• operational data
• invoices
• customer records
• documents

Circle Bit receives a limited license to process this data only for providing the service.

Circle Bit implements industry-standard security measures to protect user data.

However:

• no system is completely secure
• users are responsible for protecting their account credentials

If a User cancels their OFreight subscription:

• Circle Bit will retain the User’s data for one (1) month following the subscription cancellation date.

During this period:

• Users may request a copy of their data by contacting Circle Bit.

After the one-month retention period, Circle Bit reserves the right to permanently delete the data from its systems.

Data recovery may not be possible after deletion.

OFreight may provide customer-facing portals allowing Users' clients to:

• track shipments
• view documentation
• communicate with the freight forwarder

Circle Bit is not responsible for communications or transactions between Users and their customers.

OFreight may integrate with third-party services such as:

• shipping line APIs
• payment gateways
• tracking systems
• accounting software
• AI providers

Circle Bit is not responsible for the availability, accuracy, or reliability of third-party services.

All intellectual property rights in OFreight including:

• software code
• design
• algorithms
• trademarks
• documentation

are owned by Circle Bit Software Solutions Trading LLC.

Users may not:

• copy
• modify
• reverse engineer
• distribute
• resell the platform

without written permission.

Circle Bit aims to maintain reliable service but does not guarantee uninterrupted availability.

Service interruptions may occur due to:

• system maintenance
• infrastructure upgrades
• technical issues
• force majeure events

To the maximum extent permitted by law, Circle Bit shall not be liable for:

• loss of business
• loss of profits
• shipment losses
• cargo damages
• operational disruptions

Circle Bit's total liability shall not exceed the subscription fees paid during the previous 12 months.

Users agree to indemnify and hold harmless Circle Bit from claims arising from:

• illegal use of the platform
• shipment disputes
• sanctions violations
• regulatory violations
• misuse of the service

Circle Bit may suspend or terminate accounts if:

• these Terms are violated
• payments are overdue
• illegal activities are suspected
• sanctions compliance issues arise

Users may terminate their account at any time according to their subscription terms.

Circle Bit shall not be liable for delays or failures due to events beyond its control including:

• natural disasters
• war or conflict
• cyber attacks
• regulatory restrictions
• global trade disruptions
• internet infrastructure failures

These Terms shall be governed by the laws of the United Arab Emirates.

Any disputes shall be resolved in the courts of Dubai, UAE, unless mandatory laws require otherwise.

Circle Bit reserves the right to update these Terms.

Users will be notified of material changes.

Continued use of OFreight after updates constitutes acceptance of the revised Terms.
